1. Purpose of Service
Gritsee provides operational analytics services to restaurant chains using video recordings from cameras located at the client’s premises. The goal is to identify operational improvement opportunities, support better decisions, and help drive positive business results.
The service includes:
Automated reports with operations findings.
Secure links with access to videos, images, and results.
Recommendations and onboarding for teams to improve operations
2. Subscription and Billing
The Service will be billed via subscription ("Subscription"). It will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are monthly or for specific periods, depending on the type of subscription plan you select when agreeing to a subscription.
At the end of each billing cycle, your subscription will automatically renew under the same conditions, unless you or Gritsee cancel it. You can cancel the renewal of your subscription at least 1 month in advance by sending an email to info@gritsee.com
To process the payment of your Subscription, a valid payment method, such as a credit card, is required. You must provide Gritsee with accurate and complete billing information, including full name, address, state, postal code, telephone number, and information about the valid payment method. By submitting such payment information, you automatically authorize Gritsee to charge all Subscription fees generated through your account to any of those payment methods.
In the event that, for any reason, automatic billing does not occur, Gritsee will issue an electronic invoice indicating that you must proceed manually within a specific deadline, with the total payment corresponding to the billing period indicated in the invoice.
3. Trial Periods
Gritsee may, at its sole discretion, offer a subscription with a free trial or with partial payment for a limited period of time ("Service Trial").
You may be required to enter your billing information to register for the free trial.
If you enter your billing information when registering for the Service Trial, Gritsee will not make any additional charges until it expires. On the last day of the Service Trial period, unless you cancel your Subscription, you will automatically be charged the fees corresponding to the type of Subscription you have agreed to.
At any time and without prior notice, Gritsee reserves the right to (i) modify the terms and conditions of the service trial offer or (ii) cancel said trial offer.
4. Fee Changes
Gritsee may modify subscription fees at any time, at its sole discretion. Any changes to the subscription fee will take effect at the end of the current billing cycle. Gritsee will provide you with reasonable prior notice of any changes to the subscription fees.
Your continued use of the Service after the subscription fee change takes effect constitutes your agreement to pay the modified subscription fee amount.

5. Refunds
Gritsee may consider certain subscription refund requests on a case-by-case basis and grant them at its sole discretion.
6. Intellectual Property
The Service, along with its original content, features, and functionality, are and will remain the exclusive property of Gritsee. The Service is protected by copyright, trademark, and other intellectual property laws of the United States. Gritsee's trademarks and trade dress may not be used in connection with any product or service without Gritsee's prior written consent.
The recorded video generated through the Service is the exclusive property of the client. However, Gritsee retains ownership of the content, analysis, findings, and scores derived from the Service. Gritsee will not sell or transfer this information to third parties without the client's explicit consent.
7. Limitation of Liability
In no event shall Gritsee, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Gritsee shall not be liable for indirect damages, business losses, or improper use of data by the client.
8. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Gritsee does not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; or c) that service results will meet all expectations or that clients will apply recommendations properly. Effectiveness depends on internal usage.
9. Governing Law
These Terms are governed by the laws of Delaware, USA. Any disputes will be resolved exclusively in the appropriate courts of this jurisdiction.
10. Modifications
Gritsee reserves the right to modify these Terms of Use. Changes will be communicated in advance and deemed accepted upon continued use of the service.
